eStadium Terms of Use

These Terms of Use (“Terms”) govern your access to and use of eStadium: Live Match Chat (“eStadium,” the “App,” “Service,” “we,” “us,” or “our”). eStadium is a product of Rated10, LLC, a Delaware limited liability company.

By creating an account, accessing the App, buying tokens, joining a chatroom, posting content, or using any part of eStadium, you agree to these Terms. If you do not agree, do not use eStadium.

1. What eStadium Is

eStadium is a live football (soccer) match chat app where fans can join match-based rooms, talk during games, build a matchday profile, earn badges, and participate in fan communities.

eStadium is an independent fan app. eStadium is not affiliated with, endorsed by, sponsored by, or officially connected to any tournament organizer, league, club, team, federation, broadcaster, player, sponsor, or rights holder unless we clearly state otherwise in writing.

Any team names, country names, fixtures, match references, or event references are used for identification, commentary, discussion, and fan-room organization only.

2. Eligibility

You must be at least 13 years old to use eStadium.

If you are under the age of majority in your country, state, or region, you may use eStadium only with permission from a parent or legal guardian. By using eStadium, you represent that you meet these requirements.

We may restrict, suspend, or terminate access if we believe a user does not meet the eligibility requirements.

3. Accounts

To use certain features, you may need to create an account. You agree to provide accurate information and keep your account secure.

You are responsible for all activity under your account, including messages, purchases, token use, profile activity, and any content posted from your account.

You may not:

create accounts using false or misleading information;
impersonate another person, company, club, team, public figure, or organization;
sell, rent, share, or transfer your account;
use another person’s account without permission;
create multiple accounts to avoid moderation, bans, limits, or restrictions.

We may reclaim usernames, remove profile content, or restrict accounts that violate these Terms, infringe rights, mislead users, or create safety risks.

4. User Content

eStadium allows users to post, send, upload, display, or share content, including messages, usernames, profile information, avatars, reactions, reports, badges, chat activity, and other materials (“User Content”).

You keep ownership of your User Content. However, by posting or submitting User Content through eStadium, you grant Rated10, LLC a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, publish, distribute, modify, adapt, moderate, remove, translate, analyze, and otherwise use that content as needed to operate, improve, protect, promote, and provide eStadium.

This license allows us to:

display your messages in match chatrooms;
show profile activity, badges, or fan-room participation;
process reports and moderation decisions;
improve safety and anti-abuse systems;
operate technical infrastructure;
enforce these Terms;
comply with legal obligations;
use anonymized or aggregated activity to improve the Service.

You are responsible for your User Content. Do not post anything you do not have the right to post.

5. Public and Semi-Public Chatrooms

Match chatrooms and fan rooms are social spaces. Messages you post may be visible to other users in that room, moderators, admins, service providers helping us operate eStadium, and users who receive or submit reports.

Do not post private information, sensitive personal information, financial information, passwords, addresses, identification documents, private conversations, or anything you would not want other users to see.

We are not responsible for what other users do with content you choose to post publicly or semi-publicly.

6. Community Rules

You agree not to use eStadium to post, send, promote, encourage, or engage in:

harassment, bullying, stalking, intimidation, or targeted abuse;
hate speech, slurs, dehumanizing content, or attacks based on protected characteristics;
threats of violence, self-harm encouragement, or instructions for physical harm;
sexual exploitation, sexual content involving minors, or grooming;
pornography, explicit sexual content, or content intended primarily for sexual solicitation;
spam, scams, phishing, fraud, impersonation, or deceptive activity;
doxxing or sharing private personal information;
illegal content or instructions for illegal activity;
malware, harmful code, scraping, bots, or automated abuse;
match-fixing, betting manipulation, illegal gambling, or unlawful wagering activity;
content that infringes copyrights, trademarks, privacy rights, publicity rights, or other rights;
fake official announcements, fake team/league/tournament affiliation, or misleading claims;
attempts to evade bans, moderation, reporting systems, rate limits, or security measures.

Football is emotional. Trash talk happens. But eStadium is not a place for abuse, threats, hate, stalking, or harassment.

7. Moderation, Reporting, Blocking, and Enforcement

We may use automated tools, human review, user reports, filters, and other systems to detect, review, restrict, or remove content or accounts.

We may, at our discretion and without prior notice:

remove content;
hide messages;
restrict posting;
limit account features;
suspend or terminate accounts;
remove badges, tokens, profile status, or gamification benefits;
block access to specific rooms;
preserve content for legal, safety, or enforcement purposes;
report illegal or dangerous activity to appropriate authorities.

Users may be able to report content, block users, or request review through in-app tools or official support channels.

We are not required to monitor all content, and we do not guarantee that all harmful content will be detected or removed immediately. Our failure to enforce a rule in one situation does not waive our right to enforce it later.

8. Tokens and Virtual Items

eStadium may offer tokens, credits, badges, boosts, profile items, digital features, or other virtual items (“Virtual Items”).

Tokens and Virtual Items are not money, not cryptocurrency, not stored value, not financial instruments, not securities, not investments, and not property. They have no cash value and cannot be exchanged for money, transferred outside the App, sold, traded, withdrawn, redeemed for cash, or used for gambling.

When you buy or receive tokens or Virtual Items, you receive a limited, revocable, non-transferable license to use them inside eStadium only, subject to these Terms.

We may manage, modify, reprice, limit, remove, expire, or discontinue tokens or Virtual Items at any time, except where prohibited by law. We may also correct errors, reverse fraudulent activity, or remove tokens obtained through unauthorized, abusive, or mistaken transactions.

9. Token Sales Are Final; No Refunds

All token purchases and Virtual Item purchases are final and non-refundable, except where a refund is required by applicable law or mandatory App Store / Google Play policy.

By purchasing tokens, you understand and agree that:

all token sales are final;
we do not provide refunds for unused tokens;
we do not provide refunds because your team lost, a match was cancelled, a chatroom was quiet, another user was removed, you changed your mind, you made an accidental purchase, you were dissatisfied with the Service, or your account was suspended for violating these Terms;
tokens have no cash value;
tokens cannot be exchanged for money;
tokens cannot be transferred to another user or account unless we expressly allow it;
deleting your account, losing access to your account, or being banned may result in loss of unused tokens;
we may deny refund requests that are abusive, fraudulent, excessive, or inconsistent with these Terms.

Purchases made through Apple App Store or Google Play may also be subject to Apple’s or Google’s payment, cancellation, and refund rules. Apple or Google may process certain refunds under their own policies. We do not control Apple’s or Google’s refund decisions.

Where we have discretion to approve or deny a refund, our policy is that token purchases are final and non-refundable unless we determine there was a technical error, unauthorized transaction, legal requirement, or other exceptional circumstance.

10. Subscriptions

If eStadium offers subscriptions, subscription terms will be shown before purchase. Subscriptions may renew automatically unless cancelled according to the rules of the platform where you purchased them.

Cancellation stops future renewal. It does not automatically create a refund for the current billing period unless required by law or platform policy.

Subscription features may change over time. We will not materially reduce paid subscription features without providing any notice required by law or platform rules.

11. Badges, Profiles, Rankings, and Gamification

eStadium may include badges, activity counts, fan status, rankings, profile achievements, recent stadiums, streaks, or other gamified features.

These features are for entertainment, community identity, and fan participation only. They have no monetary value. They do not represent ownership, financial value, prizes, betting rewards, or guaranteed benefits.

We may change, remove, reset, adjust, or correct badges, rankings, activity counts, token balances, profile items, or other gamification features to address errors, abuse, fraud, moderation decisions, product changes, or fairness issues.

12. Purchases and Payment Processing

Purchases may be processed by Apple, Google, Stripe, or other authorized payment providers depending on platform and availability.

You agree to pay all applicable prices, taxes, and charges shown at purchase. Prices may change at any time. We are not responsible for bank fees, exchange rate differences, carrier charges, payment provider fees, or taxes imposed by third parties.

You may not use fraudulent payment methods, unauthorized payment credentials, chargeback abuse, stolen accounts, or payment manipulation.

We may suspend or terminate accounts involved in payment fraud, chargeback abuse, or unauthorized purchases.

13. No Betting, Gambling, or Financial Use

eStadium is not a betting app, gambling app, fantasy sports app, sportsbook, prediction market, investment product, financial product, or crypto product.

You may not use eStadium to organize, facilitate, advertise, or participate in illegal betting, gambling, wagering, match-fixing, payment schemes, financial scams, or token speculation.

Tokens and badges cannot be used for real-money gaming, prizes, withdrawals, wagering, or financial returns.

14. Match Information and Availability

eStadium may display match names, scores, fixtures, times, status, events, fan counts, and related football information.

We try to provide a useful experience, but we do not guarantee that any match information is accurate, complete, live, uninterrupted, or error-free. Match data may be delayed, wrong, missing, changed, postponed, cancelled, or unavailable.

Do not rely on eStadium for betting, gambling, financial decisions, travel decisions, emergency decisions, legal decisions, or any high-stakes purpose.

We may add, remove, rename, merge, close, or modify chatrooms, matches, leagues, competitions, or events at any time.

15. Intellectual Property

eStadium, including its design, software, branding, graphics, logos, features, systems, databases, copy, and technology, is owned by Rated10, LLC or its licensors and is protected by intellectual property laws.

You may not copy, modify, reverse engineer, scrape, resell, distribute, mirror, or create derivative works from eStadium unless we give you written permission or the law allows it.

You may not use eStadium’s name, logo, branding, screenshots, or product materials in a way that suggests sponsorship, endorsement, partnership, or official approval without our written permission.

16. Third-Party Rights and Fan Content

You may not post content that infringes or violates someone else’s copyrights, trademarks, publicity rights, privacy rights, or other rights.

If you believe content on eStadium infringes your rights, you may contact us through eStadium’s official support channels with enough information for us to review the claim.

We may remove content and suspend accounts that repeatedly infringe rights or misuse third-party intellectual property.

17. App Stores and Third-Party Services

Your use of eStadium may also be governed by third-party terms, including Apple App Store, Google Play, payment providers, analytics providers, hosting providers, authentication providers, and device operating system terms.

Those third parties are not responsible for eStadium unless their own terms say otherwise.

For users who downloaded eStadium from Apple App Store: Apple is not responsible for providing maintenance or support for eStadium. To the maximum extent permitted by law, Apple has no warranty obligation for eStadium. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as they relate to Apple.

18. Privacy

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy.

By using eStadium, you agree that we may collect, use, share, and process information as described in the Privacy Policy.

19. Service Changes and Availability

We may update, change, suspend, limit, or discontinue any part of eStadium at any time, including chatrooms, tokens, badges, features, pricing, moderation tools, match coverage, profiles, or availability.

We do not guarantee that eStadium will always be available, secure, error-free, uninterrupted, or compatible with every device or region.

We are not liable for outages, delays, data loss, feature changes, match data errors, moderation delays, unavailable chatrooms, or loss of access except where liability cannot be excluded by law.

20. Account Suspension and Termination

We may suspend, restrict, or terminate your account or access to eStadium at any time if we believe:

you violated these Terms;
you created risk or legal exposure for us or others;
you abused users, systems, payments, or moderation tools;
your account was involved in fraud, spam, harassment, or illegal activity;
we are required to do so by law, platform rules, or safety concerns;
continuing to provide the Service to you is no longer commercially, legally, or technically practical.

If your account is suspended or terminated, you may lose access to messages, profile data, badges, tokens, purchases, rooms, and other features.

We are not required to provide refunds for suspensions, bans, deleted accounts, unused tokens, or lost Virtual Items, except where required by law or mandatory platform policy.

You may stop using eStadium at any time. You may request account deletion through the App or through official support channels.

21. User Feedback

If you send us ideas, suggestions, bug reports, designs, feature requests, or other feedback, you grant Rated10, LLC the right to use that feedback without restriction or compensation.

We are not required to treat feedback as confidential.

22. Disclaimers

eStadium is provided “as is” and “as available.”

To the maximum extent permitted by law, Rated10, LLC disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and security.

We do not guarantee that:

eStadium will meet your expectations;
match information will be accurate or live;
chatrooms will be active;
users will behave appropriately;
moderation will catch every violation;
tokens, badges, or profile features will always be available;
the Service will be uninterrupted or error-free;
your content will always be available or preserved.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

23. Limitation of Liability

To the maximum extent permitted by law, Rated10, LLC and its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, including loss of data, loss of tokens, loss of access, loss of goodwill, service interruption, user conduct, match data errors, or unauthorized account access.

To the maximum extent permitted by law, our total liability for any claim related to eStadium will not exceed the greater of:

the amount you paid to Rated10, LLC for eStadium in the three months before the claim arose; or
$100 USD.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

24. Indemnification

You agree to defend, indemnify, and hold harmless Rated10, LLC and its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

your use of eStadium;
your User Content;
your violation of these Terms;
your violation of any law or third-party right;
your misuse of tokens, badges, payments, chatrooms, or accounts;
your fraud, abuse, harassment, or misconduct.

We may control the defense of any claim subject to indemnification, and you agree to cooperate with us.

25. Governing Law

These Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-law rules.

If you live outside the United States, mandatory consumer protection laws in your country may also apply where required by law.

26. Dispute Resolution; Arbitration; Class Action Waiver

Please contact us first through official support channels so we can try to resolve any issue informally.

If a dispute cannot be resolved informally, you and Rated10, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or eStadium will be resolved by binding individual arbitration, rather than in court, except that either party may bring a claim in small claims court if eligible.

You and Rated10, LLC agree that disputes will be handled only on an individual basis. You and Rated10, LLC waive the right to participate in a class action, class arbitration, collective action, private attorney general action, or representative proceeding to the maximum extent permitted by law.

This section does not prevent either party from seeking injunctive or equitable relief for intellectual property misuse, unauthorized access, security abuse, or misuse of the Service.

If this arbitration or class-action waiver section is found unenforceable in whole or in part, the unenforceable portion will be severed and the remaining Terms will remain in effect.

27. Changes to These Terms

We may update these Terms from time to time. If changes are material, we may notify you through the App, by email, or by other reasonable means.

Your continued use of eStadium after updated Terms become effective means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using eStadium.
